These Terms and Conditions (hereinafter, “Terms”) govern the access and use of the Kiniely web platform and mobile application, the exclusive property of Heho Solutions LLC (hereinafter, “the Company”), legally based in Miami, Florida, USA. By accessing, registering, or using Kiniely, you agree to be legally bound by these Terms. If acting on behalf of a legal entity, you declare that you have the necessary powers to bind said entity.
1. Multifuntional Nature of the Service
Kiniely is a Software as a Service (SaaS) platform designed for managing sports predictions for the following purposes:
- Recreational & Entertainment: For use among friends and family.
- Educational: Promoting statistical and sports analysis.
- Workplace Climate & Teambuilding: A tool for companies looking to improve Employee Engagement and organizational culture.
- Brand Promotion & Loyalty: An activation platform for brands and commercial partners to interact with their audiences and customers.
2. Licensing Model (No Gambling)
- Usage License: Access to Kiniely’s features is granted through the acquisition of a Software Usage License. This payment is a consideration for the technological service and does not constitute a bet, nor does it guarantee cash prizes from the Company.
- Exclusion of Chance: The Company is not a gambling operator. Heho Solutions LLC does not manage, collect, or distribute funds intended for betting between users.
3. Game Mechanics and Scoring
Kiniely offers two competition modes that can be configured by the Administrator of each group:
- A. BY RESULTS Mode (Detailed Precision): Rewards final score accuracy:
- Exact Result: 8 points (Full score match).
- Winner or Draw: 3 points (Correct trend, but not the exact score).
- Home Goals: 1 point (Correct number of goals for the home team).
- Away Goals: 1 point (Correct number of goals for the away team).
- Note: The maximum score per match in this mode is 8 points.
- B. 1X2 Mode (Simple Trend): Rewards only the correct outcome:
- Correct Hit (1, X, or 2): 1 point for each correct trend (Home Win, Draw, or Away Win).
- No additional points are awarded for exact scores or individual goals.
- C. Common Prediction Rules:
- Time Limit: Predictions can be registered or modified until the exact moment of the official kickoff. The system locks automatically at the start of the match.
- Tiebreaker: In case of a points tie, the system will prioritize the user with the highest number of exact results (in Results mode).
4. Corporate Use and Brand Activation
- Independence of Incentives: Any prize or benefit offered by a company (Administrator) to its employees or customers is the sole responsibility of said entity. Heho Solutions LLC does not intervene in the logistics or delivery of external incentives.
- Administrator Responsibility: Companies are responsible for complying with their internal HR and privacy regulations when managing their groups.
5. Use by Minors
Kiniely is suitable for minors under 18 under the supervision of a parent or legal guardian, always maintaining a recreational and educational character.
6. Limitation of Liability and Indemnification
- Liability: Heho Solutions LLC provides the platform “AS IS.” Our liability is limited to the amount paid for the usage license of the current tournament.
- Indemnification: The user or contracting company agrees to indemnify Heho Solutions LLC against any third-party claims arising from the misuse of the platform or disputes over external prizes.
7. Intellectual Property
The software, algorithms, Kiniely brand, and logos are the property of Heho Solutions LLC. League or team brands are mentioned for informational purposes only and belong to their respective owners.
8. Applicable Law and Jurisdiction
This contract is governed by the laws of the State of Florida, USA. Any dispute will be resolved through binding arbitration in Miami-Dade County, Florida. The user waives the right to jury trials or class action lawsuits.
